Abstract


The 1st and 2nd paragraph of Article 1 of the Uniform Act on General Trade Law states that Any trader, including any commercial corporation in which a state or other person of public law is associated, as well as any economic interest group, whose establishment or head office is located on the territory of one of the States Parties to the Treaty on the Harmonization of Business Law in Africa, as «States Parties», is subject to the provisions of this Uniform Act.OHADA law of developing common, simple, modern rules adapted to the reality of OHADA member countries. The one-stop shop for business creation is the mechanism for creating a business established in accordance with OHADA law. This mechanism is not yet being applied by the TGI/KINDU itself-if the Congolese legislator has already foreseen it.The registration of the register of commerce and real estate credit is carried out at the TGI/Kindu. The latter does not exercise the jurisdiction afforded by the aforementioned law pending the installation of the single business start-up window in Kindu. However, the provisions of Article 17 which stipulate that the application for business creation is made by a single form filled out, signed and filed at the Single Box Office by the applicant, a natural or legal person, in this case a TGI/Kindu registry would be filed, which serves in the event that the one-stop shop for business creation is not yet effective.Commercial and cooperative companies that go to the registry for registration do not even file company deeds or statutes with the registry of the TGI / Kindu. Yet this is a legal requirement.

Le 1er et 2e alinéa de l’article 1 de l’acte uniforme sur le droit commercial général dispose que Tout commerçant, personne physique ou morale y compris toutes sociétés commerciales dans lesquelles un État ou toute autre personne de droit public est associé, ainsi que tout groupement d’intérêt économique, dont l’établissement ou le siège social est situé sur le territoire de l’un des États Parties au Traité relatif à l’harmonisation du Droit des Affaires en Afrique, ci-après dénommés «États Parties», est soumis aux dispositions du présent Acte uniforme.Le droit OHADA consistant à l’élaboration des règles communes, simples, modernes et adaptées à la réalité des pays membres de l’OHADA. Le guichet unique de création d’entreprises constitue le mécanisme de création d’une activité commerciale établi conformément au droit OHADA. Ce mécanisme n’est pas encore d’application par le TGI/KINDU même-si le législateur congolais l’a déjà prévu.La formalité d’immatriculation au registre de commerce et de crédit immobilier est opérée au TGI/Kindu. Ce dernier n’exerce pas la compétence que la loi précitée lui accorde en attendant l’installation du guichet unique de création d’entreprises à Kindu. Cela étant, les dispositions de l’article17 qui stipule que la demande de création d’entreprise se fait par un formulaire unique rempli, signé et déposé au Guichet Unique par le demandeur, personne physique ou morale, dans le cas d’espèce il serait déposé un greffe du TGI/Kindu, qui fait office au cas où le guichet unique de création d’entreprises n’est pas encore effectif.Les sociétés commerciales et coopératives qui passent au greffe en vue d’immatriculation ne déposent même pas les actes de société ou statuts au greffe du TGI/Kindu. Pourtant, cela est une exigence légale.
